Terms of Service

These Terms of Service ("Terms") govern access to and use of NewsTeam's website, publishing software, applications, APIs, integrations, and related services (the "Services"). "NewsTeam", "we", "us", and "our" refer to NEWS TEAM (PTY) LTD, trading as NewsTeam, the provider of the Services; "you" means the person or organization using them. By using the Services, you agree to these Terms. If you use them for an organization, you confirm that you have authority to act for it.
1. The Services and your agreement
NewsTeam is a software-as-a-service platform that gives publishers tools to create, manage, host, distribute, and monetize content. Features and availability depend on your plan, configuration, and agreement with us. A separately agreed written customer agreement, order form, or data protection agreement takes precedence over these Terms for its subject matter if there is a conflict. Open-source components are governed by their respective licenses.
2. Accounts and access
Provide accurate account information and keep it up to date. You are responsible for your authorized users, access permissions, credentials, API keys, and activity under your accounts. Use appropriate safeguards and tell us promptly at hello@newsteam.io if you suspect unauthorized access. You may use the Services only if you can enter a binding agreement and comply with applicable law.
3. Your content and editorial responsibility
You retain your rights in the articles, images, videos, data, branding, and other material that you or your users provide or publish through the Services ("Customer Content"). You grant NewsTeam the rights necessary to host, store, copy, process, format, transmit, and display Customer Content to provide the Services and carry out your instructions, including publication, distribution, integrations, and backups. This permission does not transfer ownership to us.
You are responsible for Customer Content and the operation of your publications. This includes editorial decisions, accuracy, legality, copyright and other intellectual property rights, permissions, privacy, defamation, advertising disclosures, and compliance with laws and platform rules. You must have the rights and lawful basis needed for the content and information you submit, import, embed, or publish, including material obtained from third parties or generated with AI.
NewsTeam supplies publishing technology and does not select, commission, approve, or endorse Customer Content merely by providing the Services. We do not undertake to review every publication or verify its claims. To the fullest extent permitted by law, NewsTeam is not responsible for Customer Content or for customers' editorial decisions, omissions, or use of the Services. Nothing in these Terms excludes duties or liability that cannot lawfully be excluded.
4. Acceptable use and content complaints
You must not use the Services to:
- Publish unlawful material, infringe another person's rights, or collect or disclose personal information unlawfully.
- Distribute malware or spam, engage in fraud, harass others, or facilitate exploitation or abuse.
- Bypass authentication, access data without authorization, disrupt the Services, or evade usage limits or security controls.
- Misuse third-party integrations or violate their applicable terms, permissions, or data-use restrictions.
We may investigate reports and remove or restrict content, integrations, or access when reasonably necessary to address a breach, protect people or the Services, or comply with law or platform requirements. Report content or rights concerns to hello@newsteam.io, including the relevant URL and an explanation. The publisher remains the primary contact for editorial complaints, corrections, and its own reader services.
5. Third-party services and AI
You choose which third-party services to connect or use. Those services, including social embeds, payment providers, analytics, advertising, and AI providers, are subject to their own terms and privacy policies. Their availability or functionality may change or end independently of NewsTeam. You are responsible for any required accounts, permissions, fees, notices, and consents. AI output may be inaccurate, incomplete, or unsuitable; you must review it and verify rights and facts before publication.
Use of Facebook and Instagram functionality must comply with Meta's applicable terms and policies. These Terms do not grant rights to Meta Platform Data beyond those permitted by Meta, or override restrictions on its processing, sharing, or deletion.
6. Privacy and customer data
Our Privacy Policy explains our handling of personal information. You are responsible for providing privacy notices and obtaining permissions or consent required for your publications, readers, and integrations, and for giving us lawful instructions when we process information on your behalf. Personal-data deletion requests can be made using our Data Deletion instructions.
7. Fees and service changes
Fees, billing periods, usage limits, renewals, cancellation, and any service commitments are set out in your agreed plan or customer agreement. You must pay agreed charges and applicable taxes. We may change or improve the Services, subject to that agreement and applicable notice requirements. Beta, preview, and evaluation features may change, be interrupted, or be withdrawn and carry no service-level commitment unless agreed in writing.
8. NewsTeam intellectual property
NewsTeam and its licensors retain rights in the Services, software, designs, documentation, and branding, excluding Customer Content and separately licensed material. Subject to these Terms and your agreement, you may access and use the Services for their intended purposes. No other rights are granted by implication.
9. Suspension and termination
You may stop using the Services and request account closure, subject to your agreed cancellation and payment terms. We may suspend or terminate access for material breach, non-payment, unlawful activity, security risks, or when legally required. Where reasonably practicable, we will give notice and an opportunity to resolve the issue. Arrange any needed exports before access ends; retention and deletion are governed by your agreement, our Privacy Policy, applicable law, and relevant platform requirements.
10. Warranties and limitations of liability
Except for commitments expressly made in a written agreement and rights that cannot be excluded by law, the Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation or the accuracy, legality, or reliability of Customer Content, third-party material, or AI output.
To the fullest extent permitted by law, NewsTeam is not liable for indirect, incidental, special, consequential, or punitive losses, or loss of profits, revenue, goodwill, or business opportunity arising from use of the Services. Unless your written agreement states otherwise, our aggregate liability arising out of or relating to the Services is limited to the fees you paid NewsTeam for the affected Services in the twelve months preceding the event giving rise to the claim. These limitations do not apply to fraud, wilful misconduct, or any liability or statutory right that applicable law does not allow to be limited or excluded.
11. Claims relating to your use
To the extent permitted by law, you will indemnify NewsTeam against third-party claims and reasonable resulting costs arising from Customer Content, your infringement of another person's rights, or your unlawful use of the Services. This does not apply to the extent a claim results from NewsTeam's own breach or wrongdoing. We will notify you of relevant claims, provide reasonable cooperation, and will not agree to a settlement imposing obligations on you without your consent.
12. Changes, disputes, and contact
We may update these Terms, publishing the revised version and date on this page and providing notice of material changes where required. Changes apply prospectively, subject to any written agreement. If a provision cannot be enforced, the remaining provisions continue to apply. Any agreed governing law and dispute process are set out in your customer agreement; otherwise applicable law determines them. These Terms do not remove mandatory consumer or other statutory protections.
